By accessing or using the www.speedtel.com website, you agree to be bound by all terms and conditions set forth herein and where there is a lack of clarity, the expressed Terms and Conditions shall apply. Any purchase or use of Speedtel™ products or services transacted through this web site is expressly conditioned on your acceptance of these Terms and Conditions. These may be updated from time to time by SPEEDTEL. The below terms and conditions are subject to the Federal E-sign Act of 2000, as amended, on every purchase without a written contract and constitute an Agreement of Use and Purchase between You and SPEEDTEL on www.speedtel.com and/or on its downloadable Mobile Application associated with the website for all sales of Speedtel™ services and products by SPEEDTEL.

 

SPEEDTEL is a Wireless Internet Access Service Provider (“WISP”) and operator of Wireless operated communication services and Internet of Things (“IoT) applications and products sold online and operated through the internet. In connection with these services, Speedtel™ offers data products and services on both a dedicated fixed frequency basis as well as WiFi. All sales pf Speedtel’s™ branded services and products, either through www.speedtel.com or by means of any associated Mobile Application are operated by Speedtel Broadband LLC., a Florida limited liability company (“SPEEDTEL” or “Speedtel™” as to respective company name or service or product brand). 

 

WARNING: It is a Federal AND/OR State Offense to purchase any product or service by fraudulent means. All Services and Products purchased through this website shall not be used for any unlawful purpose. Should SPEEDTEL become aware of any fraudulent use, transaction or purchase, it reserves the right to forward any and all information on its network to the victim or law enforcement agency, upon any lawful request, without prior consent of the account holder or Subscriber. This is an unconditional and non-negotiable term of services, and an exception to our privacy policies.

 

TERMS AND CONDITIONS OF SPEEDTEL WEBSITE USE AND UPON ALL PURCHASES

 

Speedtel™ and its Customers: SPEEDTEL is a Wireless Internet Access Service Provider (“WISP”) and Interconnected Voice over IP telephone company operating from the state of Florida. Under its branded Speedtel™ line, SPEEDTEL offers its services and products to consumers comprising businesses, small office/home office (“SOHO”), or property security customers. Its services and products are wireless based and may or may not be accessible in combination with other WiFi, Internet or wireless carriers or providers. Check with SPEEDTEL as to accessibility. SPEEDTEL offers products, such as IP telephone units and security camera devices, that it has tested as reliable with its Speedtel™ services. Customer’s existing equipment may not have the same compatibility or reliability. Please consult SPEEDTEL should you wish to use equipment other than that offered by SPEEDTEL. In no event shall SPEEDTEL and/or the underlying wireless service carrier be liable for the failure or incompatibility of any equipment utilized by Customer not authorized by SPEEDTEL in writing in connection with the Services. Customer shall use any such equipment at Subscriber's own risk. SPEEDTEL is not responsible for outages or inaccessibility of Speedtel™ services due to Customer’s use of equipment not authorized by it. The following apply to all sales of Speedtel™ products and services by SPEEDTEL: 

 

  1. Electronic Contract for Sale of Services and Products. All services, or products, purchased through www.speedtel.com are made as electronic contracts for purchase under these Terms and Conditions. SPEEDTEL shall make available these Terms and Conditions in electronic format within our website or our Mobile Application, and/or via email upon request. These electronic records may be provided to You by SPEEDTEL in either Adobe Acrobat or standard text formats. Each purchase is deemed an individual sale to which these Terms and Conditions apply, unless agreed otherwise under a subscriber agreement that expressly supersedes it by different terms and conditions. These Terms and Conditions may be used to supplement any subscriber agreement when such agreement is silent.

  2. Carrier Services Provided by Speedtel Communications, LLC. Communication services comprising telecommunication services are provided by  SpeedTel Communications, LLC [1] (Fla.), a provider of domestic and international Services licensed by the Federal Communication Commission: ITC-214-20150703-00175. SpeedTel Communications, LLC Is an affiliated company with SPEEDTEL.

  3. Reservation of Rights. SPEEDTEL reserves the right to refuse service to anyone through its website or through other sales mediums or channels for any reason at any time.

  4. Governing Law, Jurisdiction & Venue. These Terms of Use shall be governed exclusively and construed in strict accordance with the laws of the State of Florida. Customer, by virtue of purchase through this website, agrees to submit to exclusive jurisdiction and venue of the state and federal courts of Miami-Dade County Florida, and, expressly waive all defenses to jurisdiction without any consideration of conflict of law theories, case law or principles. SPEEDTEL and Customer waive all objections and defenses to this expressed venue.  SPEEDTEL and Customer irrevocably waive all rights to a TRIAL by JURY and agree to resolve any and all disputes, cases or controversies regarding SPEEDTEL’s Service, products sold by SPEEDTEL, or these terms and conditions to be conducted by BENCH TRIAL, meaning a Trial by a duly appointed or elected Judge within Miami-Dade County, Florida.

  5. Products/Devices sold for Domestic use only in compliance with Laws. Customer represents, warrants and covenants that it will not remove from the United States, or otherwise export or re-export any of the goods, Services or Products/ Devices provided SPEEDTEL herein without the prior express written permission of SPEEDTEL, and then only in accordance with United States and other applicable export laws and regulations, including, without limitation, the U.S. Export Control Act 2002, the Dual Use Items (Export Control) Regulations 2000, and the export laws and regulations applied by the U.S. Department of Commerce. Customer agrees to indemnify and hold harmless SPEEDTEL and its officers, employees and affiliates against all claims, suits, proceedings losses, liability, damages, expenses or costs arising from any breach of this section or the Export Control Act 2002 or export laws.

  6. Use of Speedtel™ Services. The Speedtel™ Service is intended for Personal and Small Business or SOHO usage only. It is not intended to be aggregated, resold or provide primary services to call centers, telemarketing services or such professionals, or any other variant of business usage outside of an individual’s use of the calling service for business purposes. SPEEDTEL reserves the sole right to review usage of its Service and terminate such service if it reasonably believes that the account is being abused, not complying with applicable laws, or used for purposes other than personal business or SOHO usage only. You shall not resell or transfer the Service or your Account Access to another party without our prior written consent. You are prohibited from using the Speedtel™ Service or Account Access or equipment sold by SPEEDTEL for autodialing, continuous or extensive call forwarding, telemarketing (including, without limitation, charitable or political solicitation or polling), fax or voicemail broadcasting or fax or voicemail blasting. SPEEDTEL reserves the right to immediately terminate or modify your Service if we determine, in our sole and absolute discretion, that you have at any time used the Service, virtual platform or any Mobile Application for any of the above or similar activities.

  7. Inappropriate Use and/or Conduct as cause for termination of Services. Customer agrees to use the Speedtel™ Service and Application for lawful purposes only. You shall neither use, nor allow any third (3rd) parties to use, the Speedtel™ Service in any way that is unlawful, harmful, threatening, libelous, deceptive, fraudulent, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, discriminatory, or other objectionable material of any kind, including, without limitation, material that encourages unlawful conduct.  If SPEEDTEL believes, at its sole discretion, that any Customer’s account has engaged in any of the foregoing conduct, SPEEDTEL reserves the right to (i) immediately suspend or terminate Customer’s Service; and/or (ii) forward the offensive materials, or communications, and your identity and other personal information to the proper authorities for investigation and prosecution. Customer consents to the forwarding of any such communications and information to these authorities or law enforcement. In the event of such termination, you will be responsible for the full month's charges to the end of the current term, including, without limitation, unbilled charges, plus a termination fee, if applicable, all of which will become immediately due and payable upon termination of your Service.

  8. Regulatory Fees & Taxes. Any applicable sales, use, excise, utility or other taxes, or regulatory fees or charges imposed on Speedtel™ as a result of providing services or services via a virtual software platform or Application will be changed on your invoice and/or deducted from prepaid balances placed with Speedtel™ when imposed or required by law or regulation (collectively, “Government Charges”). This includes Florida Communication Service or Florida Sales taxes associated with customers or Customers based in Florida. To determine which jurisdictions' wireless telecommunications service taxes and other assessments to collect, federal law requires SPEEDTEL to obtain Customer’s Place of Primary Use (“PPU”), which must be Customer’s residential or business street address, and, must be and address within our service area. Customer represents that its true and correct PPU is the address provided in this Agreement and agrees to provide us Customer's PPU and to notify us of any changes in Customer's PPU. The Customer agrees to bear the pass-through cost of all Government Charges in additional to any lawful administrative charges that SPEEDTEL or Speedtel Communications, LLC may charge as a matter of law and regulation within the Customer’s PPU SPEEDTEL may, at its discretion within the Plan offer all services on a prepaid-basis, embodying all Government Charges in one flat fee price. For post-paid services, SPEEDTEL will determine, in its reasonable discretion, the applicable Government Charges which Customer is responsible to pay hereunder, which amounts may vary. Customer is solely responsible for paying all Government Charges, regardless of whether they are assessed on Customer directly (Post-Paid) or indirectly (Prepaid) by SPEEDTEL. Alternatively, the average of taxes and fees may be calculated on a fixed percentage rate by SPEEDTEL based upon the jurisdiction from which it sells services, the State of Florida, or on an itemized basis to distinguish communications and non-communications services and product sales. Contact SPEEDTEL’s customer service for information on applicable taxes and fees associated with your service. All Products/Devices sold include Florida Sales Taxes applicable to Speedtel.™ Consult your Speedtel™ Invoice for a break-out of Government Fees and Communications Usage Charges.

  9. Abuse and Fraud Indemnified. Customer shall immediately notify SPEEDTEL in writing, email being sufficient, of any abuse or fraudulent or illegal use of their Services or Products/Devices that becomes known to them through its exercise of reasonable diligence. Customer agrees that SPEEDTEL and any underlying wireless carrier are not liable for any illegal, fraudulent or negligent use of the Speedtel™ Services relating to any Products/Devices or Services activated for Customer by Speedtel™ this Agreement, by means of access from the Customer’s side or use, and shall indemnify, defend and hold harmless SPEEDTEL and the underlying wireless carrier and the officers, employees and agents of each of them from any damages incurred in any such event.

  10. Credit/Debit Card Charges. No Credit or Debit Cards payments will be accepted by SPEEDTEL from Credit Card Issuers that are not regulated Issuers in the United States of America – U.S. Cards only. You must provide and pay from valid credit card (Visa, MasterCard, Discover, American Express or any other issuer then-accepted by SPEEDTEL) of which you are the authorized cardholder when purchasing any Speedtel™ product or service. Should the Customer authorize automatic bill payment by credit card, it thereby authorizes SPEEDTEL to charge the credit card account number for all applicable Speedtel™ Service and usage charges plus applicable taxes and fees that accrue during their 30-day service cycle. Such authorizations will remain valid until terminated by proper notice to SPEEDTEL through this website in writing, email being sufficient, or pursuant to your written Contract. You must notify SPEEDTEL in writing within seven (7) days after receiving your credit card statement if you dispute any SPEEDTEL charges for Services or Products on that card statement or otherwise such dispute will be deemed waived. Any applicable billing discrepancy resulting in the consumer initiating a charge-back by the credit card provider through Federal Truth in Lending Act, 12 C.F.R. Part 266 (1998), REG-Z, are not waived and SPEEDTEL must be given a reasonable time investigate the nature of the Customer’s claim, billing and the specific charge.

  11. Payment Network Rules. www.speedtel.com accepts PAYPAL™ Apple Pay,™ and other merchant processors (Payment Networks) at its online checkout for credit/debit card payments. The Payment Networks that process online payments on our site have established guidelines, bylaws, rules, and regulations (“Network Rules”). SPEEDTEL is required to comply with all applicable Network Rules that are applicable to merchants using an online purchase check-out. These Rules are publicly available from PAYPAL™ and Apple Pay™ and can be sent to you upon request by Speedtel™ upon written request. The Card Networks reserve the right to amend the Network Rules. SPEEDTEL also reserves the right to amend its Terms and Conditions at any time as necessary to comply with Network Rules or otherwise redress changes in the Credit or Debit Cards the Payment Networks use or may accept for transactions.

  12. SPEEDTEL & Federal CALEA Compliance. Be advised that should a request come from governmental or law enforcement agencies, with the authority to require SPEEDTEL and Speedtel Communications, LLC to report information related to your services, or, should law enforcement request this information or access pursuant to CALEA or the Patriot Act, SPEEDTEL shall be obligated to cooperate and disclose this information in accord with the laws of the United States of America and the State of Florida.

  13. Public WiFi Accessed by Customer is “As-Is.” Customer may elect to access Speedtel™ Services through WiFi connections independent of Services offered by SPEEDTEL. SPEEDTEL makes no representations, guarantees or warranties as to the availability or qualify of Services when accessed by Customer through Public WiFi. Public frequency has outside constraints, including accessibility, and is generally unsecure. When a Service is intentionally delivered by SPEEDTEL through Public WiFi, Customer will be informed in writing and SPEEDTEL will detail any limitations or abilities within that frequency when accessing Speedtel™ Services.

  14. Service Impractical and/or Force Majeure. In the event that, for any reason outside of SPEEDTEL’s reasonable control (that may include but is not limited to regulatory changes, government mandates, or technical issues related to underlying service providers, as well as weather, hurricane, power outages, or similar Acts of God) that detrimentally affects SPEEDTEL’s™ ability to provide Services, making such Services and Pricing unavailable or impractical to SPEEDTEL, then SPEEDTEL shall provide written notice to Customer of such change, circumstance or event (the “Force Majeure Notice”). The Force Majeure Notice shall contain any applicable revised charges for Plans, Services and other items associated thereto, and, the date on which such new pricing will be implemented, which shall not be less than 30 days from the date of the remission of the Notice to the Customer. Upon receipt of the Force Majeure Notice, Customer shall then have 30 days to terminate and/or cancel any Service, without penalty or charge, it being acknowledged that such remedy is the sole and exclusive remedy for Customer for the occurrence of a condition hereunder.

  15. Usage Charges, License Fees and Charges to Customer. Customer is solely responsible for paying all charges invoiced in accordance with their Plan for use of the Services associated with their Products/Device(s) for all Speedtel™ Serviced rendered, even in the event Customer does not use, or does not authorize the use of, any particular Service Product or Device in their control (due to device theft or unauthorized access) by a third-party after installation by Speedtel.™ THE CUSTOMER IS SOLELY RESPONSIBLE FOR ALL CHARGES ASSOCIATED WITH PRODUCTS/DEVICES AND SERVICE ORDERED FROM SPEEDTEL. Customer agrees to pay all such charges of Speedtel.™ Charges may be associated with airtime, wireless internet access, platform access and features, data usage, Mbps upload and Mbps download capacity, the purchase price of the Product or Devices including installation or re-installation charges, and that may charged by Speedtel™ through Customer's bill.

  16. No Warranties on WISP, VoIP or Data Services. SPEEDTEL DOES NOT MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF TITLE OR NONINFRINGEMENT, OR ANY IMPLIED WARRANTIES OR MERCHANTIBILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH REGARD TO THE SERVICES, ANY TRANSACTION PERFORMED USIGN THE SERVICES OR ON THE INTERNET GENERALLY, OR AS TO THE QUALITY OF ANY IP-CALL TO ALL DESTINATIONS. SPEEDTEL SHALL NOT BE LIABLE FOR ANY COST OR DAMAGE ARISING EITHER DIRECTLY OR INDIRECTLY FROM ANY SUCH TRANSACTION OR USE OF THE SERVICE. SPEEDTEL™ DOES NOT WARRANT THAT THE SERVICES AT ALL TIMES AND PLACES WILL BE UNINTERRUPTED OR ERROR-FREE OR WILL OPERATE WITHOUT FAILURE, PACKET LOSS, DEGRADATION OR INTERRUPTION NOR DOES SPEEDTEL WARRANT ANY CONNECTION TO OR ANY TRANSMISSION OVER THE INTERNET OR THAT ANY DEFECTS IN THE SERVICES OR MATERIALS WILL BE CORRECTED. NEITHER SPEEDTEL NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES OR AGENTS, OR ANY OTHER SERVICE PROVIDER OR VENDOR WHO FURNISHES SERVICES, APPLICATIONS, OR PRODUCTS TO CUSTOMER IN CONNECTION WITH THE SERVICE, WILL BE LIABLE FOR UNAUTHORIZED ACCESS TO OUR OR YOUR TRANSMISSION OR RE-TRANSMISSION FACILITIES OR PREMISES EQUIPMENT OR FOR UNAUTHORIZED ACCESS TO, OR ALTERATION, THEFT OR DESTRUCTION OF, CUSTOMER'S DATA FILES, PROGRAMS, PROCEDURES OR INFORMATION THROUGH ACCIDENT, FRAUDULENT MEANS OR APPLICATIONS OR ANY OTHER METHOD, REGARDLESS OF WHETHER SUCH DAMAGE OCCURS AS A RESULT OF SPEEDTEL™ OR ITS SERVICE PROVIDER'S OR VENDORS' NEGLIGENCE. STATEMENTS AND DESCRIPTIONS CONCERNING THE SERVICE OR ANY SPEEDTEL DOWNLOADABLE APPLICATION, IF ANY, OR OUR AGENTS, OR INSTALLERS ARE INFORMATIONAL AND ARE NOT GIVEN AS A WARRANTY OF ANY KIND.

  17. Expressed Limitation of Liability. IN NO EVENT WILL SPEEDTEL BE LIABLE TO THE CUSTOMER FOR (I) ANY INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS, DATA OR INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS SITE, THE SERVICES OR THE PRODUCTS/DEVICES OR MATERIALS COMPRISING THE PRODUCTS/DEVICES, OR ANY TRANSACTIONS PROVIDED ON THE SERVICE OR DOWNLOADED OR HYPERLINKED FROM THE SITE, EVEN IF SPEEDTEL, ITS AFFILIATES OR ITS AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICE AND/OR MATERIALS OR INFORMATION DOWNLOADED THROUGH, OR HYPERLINKED FROM, THE SITE.

  18. Indemnification. Customer agrees to indemnify, defend and hold SPEEDTEL its officers, directors, employees, agents, shareholders, licensors, suppliers, business partners and any third-party information providers to the Site, its Services or Products/Devices from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from Customer’s use of any Services or Product, including, without limitation, any violation of this Agreement by Customer. The provisions of this paragraph are for the benefit of SPEEDTEL and its officers, directors, employees, agents, shareholders, licensors, suppliers, business partners and any third-party providers of the Site, or the Speedtel™ Services or Speedtel™ Products and Devices sold. Each of these individuals or entities shall have the right to assert and enforce these provisions directly against Customer on its own behalf.

  19. No Warranties on Website. HYPERLINKS OR OTHER WEB PAGES ACCESSIBLE FROM THE SITE WILL ENABLE YOU TO LEAVE SPEEDTEL’S WEBSITE. THE LINKED SITES ARE NOT UNDER THE CONTROL OF SPEEDTEL AND SPEEDTEL™ IS NOT RESPONSIBLE FOR THE CONTENTS OF ANY LINKED SITE OR ANY LINK CONTAINED IN A LINKED SITE, OR ANY CHANGES OR UPDATES TO SUCH SITES. SPEEDTEL IS PROVIDING THESE LINKS TO YOU ONLY AS A CONVENIENCE, AND THE INCLUSION OF ANY LINK DOES NOT IMPLY ENDORSEMENT BY SPEEDTEL OF THE PARTICUALR SITE. SPEEDTEL AND ITS AFFILIATES DO NOT CONTROL OR ENDORSE THE CONTENT OF THIRD-PARTY WEBSITES. ALL SERVICES AND MATERIALS PROVIDED ON THE SPEEDTEL WEBSITE ARE PROVIDED "AS IS". SPEEDTEL DOES NOT GUARANTEE OR WARRANT THAT THE FILES AVAILABLE FOR DOWNLOADING FROM THE SITE WILL BE FREE OF INFECTION OR VIRUSES, WORMS, TROJAN HORSES OR OTHER CODE THAT CONTAINS CONTAMINATING OR DESTRUCTIVE PROPERTIES. YOU ARE RESPONSIBLE AND ARE URGED TO IMPLEMENT SUFFICIENT PROCEDURES AND CHECKPOINTS TO SATISFY YOUR PARTICULAR REQUIREMENTS FOR ACCURACY OF DATA INPUT AND OUTPUT, AND FOR MAINTAINING A MEANS EXTERNAL TO THE SITE FOR THE RECONSTRUCTION OF ANY DATA LOSS.   20. Trademarks. All corporate names, service marks, logos, trade names, trademarks, websites and domain names of Speedtel Broadband LLC d/b/a Speedtel™ and its affiliate Speedtel Communications, LLC (collectively "Marks") are and shall remain the exclusive their property and nothing in this agreement shall grant Customer or any Third party the license to use such Marks in any form or derivations. Speedtel Broadband LLC d/b/a Speedtel™ and its affiliate Speedtel Communications, LLC reserve all rights of Mark ownership to enforce their Marks for any copies made from this website or otherwise. Customers and visitors recognize and agree to this reservation of rights in exchange for access to the pages of this website.

  21. Copyright. All Services, Software and Materials found at this Website are protected under U.S. Copyright, or, by and through other intellectual property laws. Any commercial use of the Services Software, and Materials found on the Website is strictly prohibited, without the express, prior, written consent of Speedtel Broadband LLC d/b/a Speedtel™ and its affiliate Speedtel Communications, LLC d/b/a Speedtel™. Any reproduction or redistribution of the Services and/or Materials not in accordance with the terms set forth herein is expressly prohibited by law and may result in severe civil and criminal penalties.

 

This Website was last updated on July 1, 2021 and shall be revised every six (6) months for policy changes and corrections to electronic contracts. All Speedtel™ Services shall be subject to the then posted Terms and Conditions where they do not conflict with existing Electronic Contract Terms of a Customer that have not be Noticed to the Customer by e-mail thirty (30) days prior to their effect.
